1. About MEMOMES CLOUD
MEMOMES CLOUD is a secure digital cloud-storage, vault, and file-management platform operated by Sathus Technology Pvt. Ltd. ("Company", "we", "us"). The Services permit users to store, backup, manage, access, retrieve, stream, and share digital files through their accounts.
The Service portfolio may include:
- Client-side zero-knowledge encrypted file storage (photos, documents, audio, videos)
- Dynamic file chunking, multipart uploads, and multi-region blob replication
- Zero-RAM streaming and web-based media playback
- Anti-screenshot visual shields and dynamic viewer IP watermarking
- Time-bounded, password-protected, and single-view burner sharing links
- Local WebAssembly vector search and file classification engines
- Storage allocation tiers, paid subscriptions, and billing administration
2. Eligibility
You may access or use MEMOMES CLOUD only if you are competent to enter into a valid, legally enforceable contract under Section 11 of the Indian Contract Act, 1872. If you access the Services on behalf of a company, partnership, or legal entity, you represent and warrant that you possess full corporate authority to bind such entity to these Terms.
3. Account Registration & Security
To access storage features, you must register a MEMOMES CLOUD account. You agree to provide true, accurate, and current information. You are solely responsible for:
- Maintaining the confidentiality of your login credentials and cryptographic passphrases
- Safeguarding multi-factor authentication (MFA) tokens and backup key shards
- All activities conducted through your account credentials
You agree to notify us immediately at security@memomes.space if you detect unauthorized access or security breaches.
4. Your Files and Intellectual Property
You retain full ownership, title, and intellectual property rights in and to all content and files uploaded to MEMOMES CLOUD. We do not acquire any proprietary rights, copyright, or title in your data solely by virtue of hosting or synchronizing your files.
5. Limited Technical Operating Licence
Solely for the technical operation and delivery of the Services, you grant Sathus Technology Pvt. Ltd. a strictly limited, non-exclusive, royalty-free licence to transmit, route, chunk, duplicate across disaster-recovery nodes, and store encrypted blobs. This technical licence does not grant us any right to commercialize, sell, inspect, or train machine learning models on your private data.
6. Prohibited Content and Intermediary Due Diligence
In accordance with Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, you agree that you shall not host, display, upload, modify, publish, transmit, store, update or share any information that:
- Belongs to another person and to which you do not have any lawful right
- Is defamatory, obscene, pornographic, pedophilic, invasive of another's privacy, or bodily intrusive
- Depicts child sexual abuse material (CSAM) or sexual exploitation in any form
- Infringes any patent, trademark, copyright or other proprietary rights of third parties
- Violates any Indian law for the time being in force
- Deceives or misleads the addressee about the origin of the message or intentionally communicates false information
- Impersonates another person or entity
- Threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order
- Contains software viruses, malware, trojans, ransomware, or malicious code designed to disrupt computer systems
- Facilitates financial fraud, phishing, identity theft, or unauthorized network intrusions
- Attempts to circumvent storage quotas, rate limits, or access controls
7. Copyright & Intellectual Property Complaints
We respect intellectual property rights. If you believe that content hosted or shared through MEMOMES CLOUD infringes your copyright or trademark, submit a formal notice to our legal department:
8. Shared Links and Access Control
You are solely responsible for all sharing links generated through your account. Any recipient possessing a shared link with an embedded decryption fragment may access the shared file. You should never distribute sensitive or confidential files to unauthorized parties.
9. Storage Allocations, Bandwidth & Quotas
Usage limits (storage capacity, file sizes, concurrent streaming bandwidth) correspond to your active plan. We reserve the right to enforce technical rate limits, file chunking, or temporary bandwidth throttling to safeguard infrastructure stability against automated denial-of-service abuse.
10. Paid Subscriptions & Invoicing (INR ₹)
All subscription fees for Indian users are quoted and billed in Indian Rupees (INR ₹). Applicable taxes, including 18% Goods and Services Tax (GST), will be itemized on statutory tax invoices provided by Sathus Technology Pvt. Ltd. Subscriptions billed on recurring cycles renew automatically until cancelled by the user.
11. Payments & Security
Payments are processed via authorized Payment Aggregators regulated by the Reserve Bank of India (RBI). We do not store credit/debit card numbers, CVVs, net banking credentials, or UPI PINs.
12. Refunds & Cancellation Policy
Refund requests are governed by our dedicated Refund & Cancellation Policy. Users subscribing to recurring paid tiers may cancel anytime; services remain active through the end of the paid billing period.
13. Free Early Access Tier & Lifetime Perks
Free storage allocations (including the 50GB Deepawali Celebration Lifetime Pass) are granted subject to active compliance with these Terms. Extended account abandonment (no login for over 365 consecutive days) may result in account archiving after 30 days prior email notice.
14. Service Availability & Maintenance
While we strive for 99.9% uptime, MEMOMES CLOUD is provided on an "as available" basis. Temporary downtime may occur due to scheduled maintenance, critical security updates, telecom failures, or force majeure events.
15. User Backup Obligation
While we maintain multi-region disaster-recovery replication for encrypted blobs, you are advised to maintain independent local backups of critical files.
16. Suspension & Account Termination
We may suspend or terminate accounts that violate statutory Indian laws, engage in distributed attacks, upload malware, or breach Section 6 of these Terms. Where legally permissible, written notice will be provided via email.
17. Effect of Account Termination
Upon termination, access permissions cease immediately, and vault blobs are queued for cryptographic shredding. Accounting records required under the Companies Act, 2013 are retained for statutory retention periods.
18. Security Vulnerability Reporting
We welcome responsible security disclosures. Security researchers discovering potential vulnerabilities should report findings to security@memomes.space without attempting unauthorized access to user data.
19. Intellectual Property of Sathus Technology Pvt. Ltd.
The MEMOMES CLOUD name, logo, software code, user interface, brand assets, and domain (memomes.space) are the exclusive intellectual property of Sathus Technology Pvt. Ltd.
20. Disclaimer of Warranties
To the maximum extent permitted under applicable Indian law, the Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, statutory, or implied.
21. Limitation of Liability
To the fullest extent permitted by the laws of India, Sathus Technology Pvt. Ltd., its directors, officers, and employees shall not be liable for indirect, incidental, punitive, or consequential damages. Our aggregate liability for direct claims shall not exceed the subscription fees paid by you in the six (6) months preceding the incident.
22. Indemnity
You agree to defend, indemnify, and hold harmless Sathus Technology Pvt. Ltd. and its affiliates from and against claims, liabilities, damages, or costs resulting from your breach of these Terms, unlawful content uploaded by you, or your violation of third-party rights.
23. Statutory Grievance Redressal (Rule 3(2) IT Rules, 2021)
In compliance with the Information Technology Act, 2000 and Rule 3(2) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the designated Grievance Officer for MEMOMES CLOUD is:
24. Governing Law & Dispute Resolution
These Terms shall be governed by, interpreted, and construed in accordance with the substantive laws of India. The competent courts situated at Chennai, Tamil Nadu, India shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms.
25. Modifications to Terms
We reserve the right to revise these Terms periodically. Continued usage of the Services after updated Terms are published constitutes acceptance of the revised Terms.
